Terms and Conditions of Service

Please read these terms and conditions carefully before using Our Service. By accessing or using any services provided by Nexa Tech Services ("Company", "we", "our", or "us"), you agree to be bound by these Terms and Conditions.

1. Services

Nexa Tech Services provides technology consulting, software development, IT solutions, and related services as described in our service agreements. The specific scope of services will be outlined in individual service agreements or statements of work.

2. Service Agreements

All services provided by Nexa Tech Services are subject to separate service agreements or statements of work that detail the specific terms, deliverables, timelines, and pricing for each engagement. These specific agreements, together with these Terms and Conditions, constitute the entire agreement between the parties.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to systems, data, and personnel
• Cooperate with our team and respond to requests in a timely manner
• Ensure proper backup of all data prior to any system modifications
• Maintain appropriate licenses for any third-party software
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

Unless otherwise specified in writing:

• Nexa Tech Services retains all intellectual property rights to any pre-existing materials, methodologies, and tools used in providing services
• Custom deliverables created specifically for the client become the client's property upon full payment
• Neither party may use the other's trademarks, logos, or brand names without written permission

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation continues for a period of three (3) years after the termination of services, unless otherwise agreed in writing.

6. Payment Terms

Payment terms include:

• Invoices are due within 30 days of receipt unless otherwise specified
• Late payments may incur interest charges as permitted by law
• All fees are exclusive of taxes, which will be added where applicable
• Payment disputes must be submitted in writing within 15 days of invoice date

7. Warranties and Limitations

Nexa Tech Services warrants that:

• Services will be performed in a professional and workmanlike manner
• Deliverables will materially conform to specifications agreed upon in writing
• We will comply with all applicable laws and regulations

Services are provided "as is" without any implied warranties of merchantability or fitness for a particular purpose unless specifically stated in writing.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our liability for any claim arising from our services shall not exceed the fees paid for the specific services giving rise to the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not responsible for any third-party software or service failures

9. Termination

Either party may terminate services:

• Upon material breach that remains uncured for 30 days after written notice
• For convenience with 30 days written notice (subject to payment for work completed)
• Immediately upon insolvency or bankruptcy of the other party

10. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service interruptions.

11. Dispute Resolution

Any disputes arising from these terms shall be:

• First attempted to be resolved through good faith negotiations
• If unresolved after 30 days, submitted to mediation
• Finally resolved through binding arbitration in Ontario, Canada

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles.

13. Modifications

We reserve the right to modify these terms at any time. We will notify clients of any material changes via email or through our website. Continued use of services after such modifications constitutes acceptance of the updated terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
